BIDDING TERMS AND CONDITIONS

These Bidding Terms and Conditions ("Agreement") set forth the terms and conditions that govern your participation as a bidder ("Bidder") on Paxbid Auction's website (the "Site"). By placing a bid on the Site, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree with any part of this Agreement, you must not place a bid on the Site.

1. Registration

1.1 Eligibility: To participate as a Bidder, you must be at least 18 years old and have the legal capacity to enter into a binding agreement.

1.2 Registration: You are required to register on the Site and create an account in order to place bids. You agree to provide accurate and complete information during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and agree to promptly notify Paxbid Auction of any unauthorized use of your account or any other breach of security.

1.3 Verification: Paxbid Auction reserves the right to verify the accuracy of the information provided during registration. Failure to provide accurate information may result in the suspension or termination of your bidding privileges.

2. Bidding Process

2.1 Bidding Procedure: Bids can be placed online through the Site's bidding platform. Each Bidder may place a bid on an item during the specified auction period. The highest bidder at the closing time of the auction will be deemed the winner, subject to any reserve price or other conditions specified for that item.

2.2 Bid Increments: Bids must be placed in the specified bid increments, as determined by Paxbid Auction. Any bids not meeting these requirements may be considered invalid.

2.3 Proxy Bidding: The Site may offer a proxy bidding feature, where Bidder can set a maximum bid amount. The system will automatically increment the bid on behalf of the Bidder, up to the maximum amount specified, in response to other bidders' bids.

2.4 Bid Rejection: Paxbid Auction reserves the right to reject any bid for any reason, including but not limited to, suspicion of fraud, violation of auction rules, or failure to meet eligibility requirements.

3. Payment and Pick-up

3.1 Payment: The winning Bidder will be notified by email and must submit payment within the specified time frame. Payment methods and instructions will be provided in the notification.

3.2 Non-Payment: Failure to submit payment within the specified time frame may result in the cancellation of the winning bid and possible suspension or termination of the Bidder's account.

3.3 Pick-up: Items won in the auction must be picked up on the designated Pick-up Day, as specified by Paxbid Auction. No shipping options are offered, and any shipping requests are at the sole discretion of Paxbid Auction.

4. Disclaimer of Liability

4.1 Site Use: Bidders acknowledge and agree that their use of the Site is at their own risk. Paxbid Auction does not guarantee the accuracy, availability, or legality of any content, products, or services offered on the Site.

4.2 Bid Disputes: Bidders assume full responsibility for their bids and acknowledge that Paxbid Auction is not responsible for any errors or disputes that may arise during the bidding process.

4.3 Limitation of Liability: In no event shall Paxbid Auction, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with a Bidder's use of the Site, regardless of the cause of action (whether in contract, tort, or otherwise) even if advised of the possibility of such damages.

5. Indemnification

Bidder agrees to indemnify, defend, and hold Paxbid Auction and its affiliates, directors, officers, employees, agents, and licensors harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to the Bidder's use of the Site, the Bidder's violation of any provision of this Agreement, or the Bidder's violation of any rights of a third party.

6. Modification and Termination

Paxbid Auction reserves the right, at its sole discretion, to modify or terminate this Agreement, or suspend or terminate a Bidder's access to the Site, at any time and for any reason without prior notice.

7. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the courts located within [Jurisdiction].

BY PLACING A BID ON THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE BIDDING TERMS AND CONDITIONS. YOU FURTHER ACKNOWLEDGE AND AGREE THAT THIS AGREEMENT CONSTITUTES THE ENTIRE AGREEMENT BETWEEN YOU AND PAXBID AUCTION AND SUPERSEDES ANY PRIOR OR CONTEMPORANEOUS AGREEMENTS, TERMS, OR CONDITIONS, WHETHER WRITTEN OR ORAL.
